Description

This session will explore how compliance has evolved into a core element of M&A and private equity strategy, shaping outcomes across the entire deal lifecycle. It will address risk-based pre-acquisition due diligence under tight timelines, including the identification and pricing of compliance risks, as well as post-acquisition integration and the challenges of successor liability and effective remediation in line with expectations from authorities such as the US Department of Justice and the Brazilian CGU, among others. The discussion will also highlight how robust compliance frameworks can enhance valuation, support smoother exits and act as a strategic value driver for private equity sponsors and corporate buyers alike.
