After a brief introduction of the six main topics and the corresponding moderators by the chairpersons, the auditorium was divided into a total of 12 tables, two tables with one moderator per topic. The moderators had each prepared their topic in advance with a list of questions so that the results of the two tables per topic were comparable. The results were then compared and summarised by the moderators after a discussion lasting around 30 minutes. The results thus obtained were then presented by the moderator teams for each topic.

More precisely, the question addressed by the Co-Chairs was to find out ‘What is the work of the general counsel within the process of internationalisation of the business and how does it impact on the relationship with external counsel?’. A virtual conference session organised by IBA Closely Held and Growing Business Enterprises Committee and held online on 24 March 2021.
From Monday 22 to Friday 25 March 2021, the IBA Closely Held and Growing Business Enterprises Committee held its 2nd IBA Virtual Entrepreneurship Conference on the topic of ‘Innovation and entrepreneurship in the next normal’, with invaluable input from seven IBA sister committees which added to the diversity of the topic.
Earn-outs are likely to be used more often in European M&A during the post-Covid 19 recovery period. This can lead to disputes. Here, the authors suggest ways in which detailed and unambiguous drafting of earn-out clauses could mitigate disputes.
