Most merger control regimes in the world today require parties to significant M&A transactions to make pre-notification filings and not to close until clearance has been given. The merging parties are also subject to the general rules applicable to competitor coordination during pre-closing due diligence and transition planning activities.
This webinar will provide the latest developments in relation to the laws and enforcement actions taken by competition authorities against transaction parties for gun-jumping in four key jurisdictions in the Americas: Brazil, Chile, Mexico and the US. It will cover decisional practice and provide practical guidance for companies and their advisers on what they need to do to avoid gun-jumping.
The webinar will be led by members of the IBA Antitrust Section’s Mergers Working Group, which developed the book Gun Jumping in Merger Control, a jurisdictional guide spanning 21 countries, published by Concurrences in 2020.
