 f the Covid-19 pandemic has been\, and continues\nto be\, signifi cant o
 n the compensation structures for many\ncompanies and on the ultimate pa
 youts under compensation\nprograms. On the other hand\, some companies h
 ave thrived\nduring the pandemic and transactional activity has been str
 ong\n(including a larger number of special purpose acquisition company\n
 (SPAC) deals)\, driving the creation of signifi cant pay packages and\,\
 nin particular\, the grant of large equity-based awards.\nThis session w
 ill explore recent corporate governance\ndevelopments and activity in th
 e executive compensation area\nover the past year\, with a view towards 
 addressing relevant\nconsiderations in the upcoming year. Special attent
 ion will be\ngiven to performance-based compensation (including short-te
 rm\nand long-term incentives)\, an overview of key European and US\ncomp
